Please read the Terms and Conditions carefully as you agree that you are at least 18 years of age and agree to comply with, and be bound by, the following Terms and Conditions which are incorporated herein by reference.

If you do not agree to these Terms and Conditions in their entirety, you are not authorized to access and / or use this website, any pages thereof, or services from Karen Romine, also known as KRPM LLC, hereinafter collectively referred to as KRPM LLC. By continuing to use the website, any pages thereof, or services from KRPM LLC, you are agreeing to these Terms and Conditions.

You must be 18 years of age or older to participate in a service, class, or an event, hereinafter collectively referred to as “Event”, unless it has been discussed and agreed to by KRPM LLC prior to the starting date and time of the Event.

You have voluntarily decided to take part in this Event.

If you are under any medical treatment for psychiatric problems that could impair your decision to engage in an Event, KRPM LLC, reserves the right to evaluate and make a decision on whether the Event can continue.

Please show up on time.  Your Event starts and ends at your allotted time – so if you arrive late, that’s the time you will lose from the Event.

If KRPM LLC misses the Event due to illness or unforeseen circumstances, the client will be offered an alternative time slot or a full refund.

KRPM LLC may terminate an Event if:

They feel a connection with a client has not been achieved.

They feel that the client is not psychologically responding positively and to carry on could cause harm to the client.

If the client shows any aggressive or confrontational attitude.

Should you request an ’emergency’ appointment outside of an existing engagement agreement, and if such an appointment can be arranged, an additional fee may apply. Emergency access terms for clients under an active engagement are defined within the terms of that engagement.

The client will take full responsibility, being of sound mind, for accepting or not accepting any guidance given, and / or spirit communication received at any Event.

All information is given for the client to use of their own free will.

All Events are given with good and honest intent and in good faith.

Any Event should not be used as a substitute for any professional, legal, financial, or medical or psychiatric  advice, guidance or treatment. Should you require such services you will seek them on your own as needed.

KRPM LLC cannot guarantee the accuracy or completeness of any information given during the time of the Event or on the website.

You are bound by the pricing and billing practices of KRPM LLC. All charges are payable in United States Dollars. Currently KRPM LLC provides for payment options as communicated at the time of engagement KRPM LLC reserves the right to change its pricing and/or billing practices at any time, in its sole discretion. All of our regular offers and promotions are subject to change at any time.

Laws oblige KRPM LLC to say that all Events are for entertainment purposes only.

On behalf of yourself, your assigns, heirs, executors, guardians, and all other legal representatives, hereby release, discharge, waive, and forever relinquish KRPM LLC, including agents, employees, officers, directors, employers, and any other person associated with KRPM LLC, from any and all known or unknown claims resulting from, arising out of or in any way connected with information you may or may not receive during your voluntary participation in an Event with KRPM LLC.

And further agree that under no circumstance(s) will you, or any other person associated with you, as a result of your Event, attempt to present any claims against, prosecute, sue, seek to attach any lien for any purpose, including satisfaction of a judgment or other judicial decree, to the property of KRPM LLC and their heirs, and you hereby waive all claims, demands, and compensation.

This includes, but is not limited to, all actions that you, anyone associated with you or any other participant in the session currently or hereafter may have for any injuries or perceived injuries or perceived or real losses you may suffer or believe to suffer because of or during your participation or involvement in an Event resulting from any actions, statements, answers to questions or omissions made by KRPM LLC or any person associated with KRPM LLC.

You understand and hold harmless KRPM LLC and all persons associated with KRPM LLC from any and all claims, actions or damages, legal and otherwise, made by you or anyone associated with you including the cost and expense associated with defending such actions or claims.

You agree that these Terms and Conditions supersede any and all prior or contemporaneous agreements, representations, warranties and understandings, whether oral or written, with respect to the subject matter of this agreement.

We may amend, modify, revise, and otherwise change these Terms and Conditions at any time by updating the website without specific notice to you. The most recent version of the Terms and Conditions will be posted on the website. We strongly encourage you to periodically review the website for policy changes and updates.

KRPM LLC reserves any rights not explicitly granted in this Agreement.

Conduct of Users. 

You must follow the guidelines set forth in these Terms and Conditions. Please be advised that it is not appropriate, and is expressly forbidden under this agreement to:

a) attempt to obtain the personal contact information of KRPM LLC;

b) use vulgar, harassing, obscene, privacy invading, or defamatory language during an Event;

c) do anything to disrupt the operation of www.KarenRomine.com, hereinafter referred to as Website, services or network;

d) attempt to gain unauthorized access of the network to transmit “junk mail”, spam, or other mass mailings;

e) advertise or market any services or products;

f) post, upload or transmit false or misleading information or take any action that violates the rights of third parties; or

g) make false statements or attempt to use financial or other information that you are not authorized to use. Additionally, as a condition of your use of the Website, you represent and warrant that you will not use the Website for any purpose that is unlawful or prohibited by the applicable terms, conditions and notices of this Agreement. You agree, represent, and warrant that you will not use the Website in any manner that could damage, disable, overburden or impair the Website or interfere with any other party’s use and enjoyment of the Website. You may not attempt to obtain any materials or information through any means not intentionally made available or provided for through the Website. You may use the Website and/or Events for your own personal, noncommercial use. No part of the Website and / or Events may be reproduced in any form or incorporated into any information retrieval system, electronic or mechanical. You may not use, copy, emulate, clone, rent, lease, sell, modify, decompile, disassemble, reverse engineer or transfer the Website and/or Events, Website content or any portion thereof. You may not use any device, software or routine to interfere or attempt to interfere with the proper working of the Website and/or Events.

KRPM LLC reserves any rights not explicitly granted in this Agreement.

Online and In-Person Events.

Unless otherwise specified in a written engagement agreement, all purchases from KRPM LLC are final. We do not refund, transfer or defer and all Events must be completed as purchased and specified.

KRPM LLC assumes no liability for lost, damaged or stolen personal items.

Personal arrangements, including, but not limited to, transportation to and from Events, accommodations, food, and travel insurance are the client’s own responsibility and risk.

KRPM LLC reserves the right to cancel an Event within 21 days in advance of the start date. Participants will be notified of other program dates they may transfer to at no additional cost to the participant. KRPM LLC will not be responsible for any costs incurred due to cancellations. We recommend travel insurance for your travel and accommodations, particularly if it involves booking flights to the Event.

KRPM LLC assumes approval to use photographs and video that may be taken during your Event, in promotional materials, unless otherwise notified by you.

In cases where KRPM LLC is offering an Event through another provider, all inquiries regarding bookings, attendance, and terms and conditions must be made to the third-party organizer of the event. KRPM LLC is not responsible for the administration and production of these events.

Audio and video clips are the property of KRPM LLC and are protected by the United States and international copyright laws.

Refund Policy. 

Refunds will not be given for downloaded files, including, but not limited to, music, meditations, classes, and sessions. Classes are non-refundable, non-transferable and must be completed as purchased and specified.

Anything that would require a return to KRPM LLC would be shipped at your expense. We strongly advise that you purchase proof of postage, shipment tracking and / or insurance when you ship returns. KRPM LLC will not be held responsible for any items which are lost by any delivery or courier service.

If you would like to request a refund, please reach out via the Contact page on the Website within 24 hours of your purchase and give as many details as possible.

Non-Disclosure Agreement. 

The Non-Disclosure Agreement is considered binding upon digitally accepting these Terms and Conditions, and is made between you, the client, and KRPM LLC.

This Agreement shall govern the conditions of disclosure by KRPM LLC and the client of certain Confidential Information, including, but not limited to, course material, trade secrets, intellectual property relating to KRPM LLC.

The Client hereby agrees that:

The Client shall not disclose any business or personal information given verbally or in written form, including, but not limited to, cot information, accounting and unpublished financial information, business plans, customer lists and customer information, purchasing techniques, supplier lists and supplier information and marketing, production or merchandising systems or plans, information relating to persons including Karen Romine, KRPM LLC staff or any other persons mentioned or alluded to by KRPM LLC. 

The Client shall not directly or indirectly acquire any interest in, or design, create, manufacture, sell, teach or otherwise deal with any item or product, containing, based upon, or derived from the information, except as may be expressly agreed to in writing by Karen Romine. 

That the secrecy obligations of the Client shall continue for a period ending 10 years from the date hereof. 

KRPM LLC will be entitled to obtain an injunction to prevent threatened or continued violation of this Agreement. Failure to enforce this Agreement will not be deemed a waiver of this Agreement.

General Disclaimer.

This Website is provided on an “as is, as available” basis to the user. “You” use the Website entirely at your own risk. KRPM LLC cannot be held responsible for any loss of data while using this Website nor can they be held responsible for any consequential loss of data, nor held responsible for any losses occurring through the transmission of a “virus” or a “worm”. 

By accessing any areas of the Website, the “User” agrees to be legally bound and to abide by these Terms and Conditions. If you do not agree with any part of these terms and conditions, you must not use the Website. 

Copyright Notice.

The “User” acknowledges that the information, data, images, sounds, illustrations and other materials made available by KRPM LLC, including text, images, graphics, logos, digital downloads and audio clips on the Website or for any Event are copyrighted works of KRPM LLC and/or various third party providers. Reproduction or storage of information or works retrieved from this Website or any Event, in all forms, by media or technologies now existing or hereafter developed, is forbidden without the express permission of KRPM LLC.

Logos and names contained within this Website and all materials by KRPM LLC are trademarks of KRPM LLC and may not be used in connection with any other product or service, nor used in any manner that disparages or discredits KRPM LLC. Trademarks owned by KRPM LLC may be used only with express written permission of the trademark owner.

Indemnification. 

You agree to indemnify, defend and hold harmless KRPM LLC and its parents, subsidiaries, and affiliates and each of their officers, partners, members, managers, agents and attorneys, co-branders or other partners, and employees, from any and all claims, actions, suits, demands, liabilities, proceedings, judgments, fines, damages, costs, losses and expenses, including but not limited to any settlement costs and/or reasonable attorney’s fees, arising from or relating to your use of the Website and/or its services whether via the Internet or telephone and any material you submit, post, transmit or make available through the service, your use of the service and any advice or information obtained thereby, your violation of these Terms and Conditions or use of any other applicable usage terms, conditions, policies, or requirements, or your infringement or violation of any rights of another, or termination of you access to the Website and/or Events.

Disclaimer of Warranties. 

KRPM LLC AND ITS EVENTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” BASIS WITH NO WARRANTIES WHATSOEVER. ANY AND ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS, ARE EXPRESSLY DISCLAIMED TO THE FULLEST EXTENT PERMITTED BY LAW. TO THE FULLEST EXTENT PERMITTED BY LAW, KRPM LLC DISCLAIMS ANY AND ALL WARRANTIES FOR THE SECURITY, RELIABILITY, TIMELINESS, AND PERFORMANCE OF THE EVENT OR SERVICE. TO THE FULLEST EXTENT PERMITTED BY LAW, KRPM LLC DISCLAIMS ANY AND ALL WARRANTIES FOR OTHER SERVICES OR GOODS RECEIVED THROUGH OR ADVERTISED ON THE WEBSITE OR RECEIVED THROUGH ANY AND ALL LINKS PROVIDED ON THE WEBSITE, AS WELL AS FOR ANY AND ALL INFORMATION OR ADVICE RECEIVED THROUGH THE WEBSITE OR THROUGH ANY AND ALL LINKS PROVIDED ON THE WEBSITE. LIMITATION OF LIABILITY.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT UNDER NO CIRCUMSTANCES SHALL KRPM LLC, ITS AFFILIATES OR ITS LICENSORS BE LIABLE TO ANY USER ON ACCOUNT OF THAT USER’S USE OR MISUSE OF AND RELIANCE ON THE WEBSITE, EVENT OR SERVICE. IN NO EVENT SHALL THE LIABILITY OF KRPM LLC EXCEED THE AMOUNT PAID TO KRPM LLC BY ANY USER FOR SAID WEBSITE, EVENT OR SERVICE. SUCH LIMITATION OF LIABILITY SHALL APPLY TO PREVENT RECOVERY OF DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, AND PUNITIVE DAMAGES (EVEN IF KRPM LLC, ITS AFFILIATES OR ITS LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). UNDER NO CIRCUMSTANCES SHALL KRPM LLC, ITS AFFILIATES OR ITS LICENSORS BE HELD LIABLE FOR ANY DELAY OR FAILURE IN PERFORMANCE RESULTING DIRECTLY OR INDIRECTLY FROM ACTS OF NATURE, FORCES, OR CAUSES BEYOND ITS REASONABLE CONTROL, INCLUDING, WITHOUT LIMITATION, INTERNET FAILURES, COMPUTER EQUIPMENT FAILURES, TELECOMMUNICATION EQUIPMENT FAILURES, OTHER EQUIPMENT FAILURES, ELECTRICAL POWER FAILURES, STRIKES, LABOR DISPUTES, RIOTS, INSURRECTIONS, CIVIL DISTURBANCES, SHORTAGES OF LABOR OR MATERIALS, FIRES, FLOODS, STORMS, EXPLOSIONS, ACTS OF GOD, WAR, ACT OF TERRORISM GOVERNMENTAL ACTIONS, ORDERS OF DOMESTIC OR FOREIGN COURTS OR TRIBUNALS, NON-PERFORMANCE OF THIRD PARTIES, OR LOSS OF OR FLUCTUATIONS IN HEAT, LIGHT, OR AIR CONDITIONING. SOME JURISDICTIONS DO NOT PERMIT THE EXCLUSION OF LIMITATION OF LIABILITY FOR CONSEQUENTIAL DAMAGES; IN SUCH STATES, LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMISSIBLE BY LAW.

Choice of Law & Venue. 

This agreement shall be construed in accordance with and governed by the laws of the State of Texas. Any and all disputes arising out of this Agreement or the Services referenced herein shall be resolved by mediation, and if such mediation is unsuccessful, by binding arbitration under the auspices of, and pursuant to the commercial arbitration rules of, the American Arbitration Association (AAA) before a single arbitrator and shall be held in or as close as possible to Bexar County, Texas.

Legal Warning. 

Any attempt by any individual, whether or not a KRPM LLC member, to damage, destroy, tamper with, vandalize and/or otherwise interfere with the operation of the Website, Event, and its Services, internet and telephone base, is a violation of criminal and civil law and KRPM LLC will diligently pursue any and all remedies against any offending individual or entity to the fullest extent permissible by law and in equity.
